Job Description

We are looking for a colleague with a solid legal & transaction management background who would take the leading legal role in partnership activities and strategic M&A transactions shaping the energy sector across the Baltic States and beyond.

You will contribute to green and secure energy ecosystem creation by:

  • Leading legal aspects for joint ventures and partnerships related questions in offshore wind projects in the Baltics. 
  • Acting as the legal lead for M&A (acquisition and divestment) including renewable, P2X, EV and other activities pursued by the Group in Lithuania and internationally.
  • Providing legal councel to the investment team and executives regarding subject matter and relevant transaction contracts (MoUs, LoIs, NDAs, SPAs, SHAs, JV, etc.).
  • Leading the preparation of respective transactional arrangements, contract packages, transaction legal management and negotiations. Ensuring respective legal documentation is in conformity with laws, company interests, and best international practices. 
  • Coordinating external transaction counsels.
  • Following and understanding of competition, FDI control and related regulatory context relevant to transactions.
  • Arranging specific inquiries and aligning internal and external processes to meet transaction timelines.
  • Reviewing, legal evaluating and providing input to the materials for corporate approvals (company board and the shareholder/-s), presenting subject to need.

Qualifications

  • Higher education in law (master‘s degree). 
  • 7+ years of professional post-qualification experience in-house or in a law firm in respective areas of expertise. 
  • Experience in cross border transactions, commercial negotiation, transaction management. 
  • Understanding of JV transaction structuring. 
  • Results-oriented mindset, ability to analyse and summarize complex topics in area of expertise and aggregate decision-relevant information to convey messages clearly and concisely. 
  • Comfort to work in cross-cultural teams, collaborating across country boundaries with a sense of diversity and inclusion. 
  • Strong negotiation skills, attitude and ability to solve problems quickly with advanced conflict resolution skills, decisiveness. 
  • Fluency in Lithuanian and English languages (both spoken and written). 

Would be an advantage:

  • Experience in energy/renewables sector would be considered as an advantage.
